Primerica, Inc. is a public company listed on the New York Stock Exchange (PRI). Primerica, Inc. is a leading distributor of financial service products to middle income households in North America, assisting clients in meeting their needs for term life insurance, mutual funds, annuities, segregated funds (in Canada) and other financial service products. Most of these products are distributed on behalf of third-party companies.

Primerica, Inc. conducts its core business activities through companies in the United States and Canada that are subsidiaries of Primerica, Inc. (the subsidiaries together with Primerica, Inc., collectively referred to as "Primerica"). Primerica markets its financial service products in the United States and Canada through its independent contractor representatives. Each subsidiary of Primerica, Inc., and not Primerica, Inc., is responsible for its own obligations to its customers.

The Business Opportunity

Primerica offers a business opportunity that involves the sale of term life insurance, securities, and various other financial service products. Primerica representatives are independent contractors, not employees. Their earnings are based on the sale of products offered by Primerica and also qualifying product referrals. Importantly, for many product lines, Primerica representatives must obtain required licenses before the representatives may sell those products.

Compensation

From January 1 through December 31, 2019, Primerica paid cash flow to its North American sales force at an average of $6,249, which includes commissions paid on all lines of business to licensed representatives. Figures include U.S. and Canadian dollars remaining in the local currency earned by the representative, not adjusted for exchange rates.

Independent Business Application Fees & Inquiries

New representatives affiliating with Primerica must complete the Independent Business Application (IBA) and pay a one-time fee of $99 in the U.S. or $103.95 (includes applicable taxes) in Canada.

Primerica Online Fees & Inquiries

Primerica Online (POL) is an intranet website that provides representatives with access to tools and resources to help them grow their businesses. A Full-Service subscription to POL is required to access its full range of information and functionality. Initially, Full Service POL costs $25 per month for representatives in the U.S. and $28 per month for representatives in Canada. POL can be accessed without charge to access more limited information, e.g., compensation and compliance information.

Ownership

"Ownership" refers to the conditional right of an eligible Regional Vice President (RVP) to transfer his or her business to another eligible RVP, subject to the consent of Primerica and subject to terms, conditions and regulatory requirements. Business Continuity

PFS Investments Inc. ("PFSI") has developed a Business Continuity Plan that addresses how we will respond to events that significantly disrupt our business. PFSI maintains off-site storage arrangements for critical data as well as an off-site back-up facility that is equipped to sustain critical operations. Check Handling Process

Platform Funds (American Century, Amundi Pioneer, Invesco, Legg Mason, and Franklin Templeton Mutual Funds):
If you provide a check with which to fund your account, please make it payable to Primerica Shareholder Services, Inc. Your representative will promptly forward it to Primerica Shareholder Services, Inc. where it will be deposited to fund your account.

Non-Platform Funds (Mutual Funds other than American Century, Amundi Pioneer, Invesco, Legg Mason, and Franklin Templeton):
If you provide a check with which to fund your account, please make it payable to the Fund Company in which the money is being invested. Your representative will promptly forward the check and the investment application to PFS Investments Inc. ("PFSI") in Duluth, GA. After approval and acceptance of the transaction at the PFSI home office, your check will be promptly forwarded the Fund Company where it will be deposited to fund your account.

Variable Annuities:
If you provide a check with which to fund your account, please make it payable to the insurance company issuing the variable annuity. For all annuities other than those issued by Brighthouse Financial, your representative will promptly forward the check and the investment application to PFS Investments Inc. ("PFSI") in Duluth, GA. After approval and acceptance of the transaction at the PFSI home office, your check will be promptly forwarded the insurance company where it will be deposited to fund your account. For Brighthouse annuities, your representative will promptly forward your check and application to Brighthouse, Inc. where it will be deposited to fund your account after approval is received from the PFSI home office.

Protecting Against Financial Exploitation

Financial exploitation involves the illegal or improper use of a person's funds by another individual. Examples of financial exploitation include improper use of power of attorney, coercion, or fraudulent transfer of assets. Elderly or vulnerable persons (of any age) may be especially susceptible to financial exploitation due to cognitive decline, physical disability or health problems, which can impair their capacity to recognize financial exploitation and scams. Identity Theft Insurance is underwritten by Travelers Casualty and Surety Company of America and its property casualty affiliates, Hartford, CT 06183, USA. Coverage for all claims or losses depends on actual policy provisions. Availability of coverage can depend on underwriting qualifications and provincial regulations.

Pre-Paid Legal Services

The Pre-Paid Legal Services program is provided by PPL Legal Care of Canada Corporation, a subsidiary of Pre-Paid Legal Service, Inc.
